Terms of Use

Welcome to DayZen. These Terms of Use ("Terms") form a binding agreement between you ("you", "your") and DayZen ("DayZen", "we", "us", "our") and govern your access to and use of the DayZen website, mobile interfaces, and services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

DayZen is an AI-assisted calendar and task management application that helps individuals and small teams plan, schedule, and complete work. Features include task and event management, AI-generated scheduling proposals, daily briefings, goal and project tracking, optional Google Calendar synchronization, and analytics.

2. Eligibility & Accounts

You must be at least 13 years old to use the Service. If you are under 18, you may only use the Service with the consent of a parent or legal guardian. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at support@dayzen.app if you suspect unauthorized access.

3. Your Content

You retain all rights to the tasks, events, notes, calendar data, and other content you submit to the Service ("Your Content"). You grant DayZen a limited, worldwide, royalty-free license to host, store, process, transmit, and display Your Content solely as necessary to operate and improve the Service for you. We do not sell Your Content, and we do not use it to train third-party machine learning models.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful, fraudulent, or harmful purpose.
  • Reverse engineer, scrape, or attempt to extract source code or data from the Service except where permitted by law.
  • Interfere with, disrupt, or place an unreasonable load on the Service or its infrastructure.
  • Use the Service to send spam, malware, or unsolicited messages.
  • Resell, sublicense, or otherwise commercialize the Service without our written permission.
  • Use the Service to violate the rights of any third party, including intellectual property and privacy rights.

5. Subscription Plans & Billing

DayZen offers a free tier and paid subscription tiers (currently Dawn, Daylight, Zenith, and Solstice). Paid subscriptions renew automatically at the end of each billing period at the then-current price unless cancelled. You may cancel at any time from your account settings; cancellation takes effect at the end of the current paid period, and we do not provide prorated refunds for partial periods except where required by law. We may change pricing with at least 30 days' notice for existing subscribers.

6. Third-Party Services

The Service integrates with third-party providers, including Google Calendar (for calendar sync), Anthropic Claude (for AI-generated scheduling, briefings, and triage), and email delivery providers. Your use of those integrations is also governed by the respective providers' terms. We are not responsible for the availability, accuracy, or content of third-party services.

7. AI-Generated Content

The Service uses artificial intelligence to suggest schedules, generate briefings, and propose plans. AI output is provided as suggestions only and may be incomplete, inaccurate, or unsuitable for your specific circumstances. You are solely responsible for reviewing and approving any AI-generated proposal before it affects your calendar or commitments. DayZen does not guarantee any particular outcome from AI features.

8. Intellectual Property

The Service, including its software, design, branding, and content (excluding Your Content), is owned by DayZen and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business use. All rights not expressly granted are reserved.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR THAT DATA WILL NEVER BE LOST. YOU ARE RESPONSIBLE FOR MAINTAINING YOUR OWN BACKUPS OF IMPORTANT INFORMATION.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DAYZEN AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DAYZEN IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $50.

11. Indemnification

You agree to defend, indemnify, and hold DayZen harmless from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party right.

12. Termination

You may stop using the Service and delete your account at any time from account settings. We may suspend or terminate your access if you violate these Terms or if we reasonably believe your use poses a security or legal risk. Upon termination, your right to use the Service ends and we may delete Your Content after a reasonable retention period.

13. Changes to the Service or Terms

We may modify the Service or these Terms from time to time. If a change is material, we will provide reasonable advance notice (for example by email or in-app notice). Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.

14. Governing Law & Disputes

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the jurisdiction of those courts.
